Company registration RECRUITMENTS
Share capital – The new regulation eliminates the minimum requirement and enables a company’s shareholders to determine the required capital to commence operations. As per the new law, a private limited company can have a minimum share capital amount of only 1 euro cent. We offer our clients the ability to apply for a cryptocurrency licence, however in this instance, the share capital must be at least €12,000, paid in full.
Contact person – In the event the Management Board is outside of Estonia, a ‘contact person’ shall be assigned.
Shareholders – Whilst there is no obligation, a shareholder may engage in daily management, at the client’s discretion.
Directors – The management board of the company may be comprised of one or more members.
Non-monetary contribution – accepted
Company registration – accepted through either an e-Residency card, a Power of Attorney or through a personal visit in Tallinn.
OÜ COMPANY FORMATION RECRUITMENTS
Share capital – Standard is 2500€/m but you have not obligation to pay upon starting.
Contact person – Statutory duty if half of the board of directors reside out of Estonia.
Shareholders – Shareholder is not personaly liable for debts of company and not engaged in management
Shares – The minimum value of a share is 1 EUR.
Directors – At least 1 person, who will be a natural person.
Non monetary contribution – Non-monetary contribution is allowed
